    Leadership Dispute at Mboi Kamiti Deepens Amidst Conflicting AGM Notices

    Shareholders of the Mboi Kamiti Farmers Company are facing renewed uncertainty following the publication of two contradictory advertisements in a leading daily newspaper. These competing notices, published on consecutive days, follow a recent Kiambu High Court ruling mandating fresh elections to resolve a 15-year leadership

    The Kiambu high court ordered the registrar of companies to call for a fresh election to end a 15 year old dispute that has rocked the firm saying this would give a new precedent into the leadership.
    The Advertised Notices as they appeared in the Local Daily

    The First advert was placed on Tuesday  May 5th and  signed  by MrThuo Mathenge as the chairman reading ” Pursuant to Judgement in Kiambu Hccc 030 of 2022 Notice is hereby given that the AGM of Mboi Kamiti farmers company ltd will be held on Thursday 11th June 2026 at 9am at Mboi Kamiti Twiga Estate Grounds next to Twiga Police Police Post,Ruiru”

    Mr Thuo further stated in the notice that all shareholders of the aforesaid company are required to carry their share certificates and attend the AGM and transact the day’s business.
    Among the Businesses he cited in the notice were  confirmation of members entitled to participate and vote, election of the officials and directors of the defendant in accordance with the law and company’s Articles of Association and any other business which may properly transacted .
    He further went on to state that any private motion and any person who intends to be elected as a director should be submitted in application in writing at the registered offices at Mboi kamiti Anmer head office on 31st may 2025.
    He finalised the notice by advising members that this was the only legal meeting scheduled in law.
    Barely  before the sun set another advert was placed the following day Wednesday 6th now  by a person by the name Ben Munyasa who identified himself as the company secretary reading “Pursuant  to Kiambu order an AGM of Mboi Kamiti Ltd was held within Kiamb county.I Ben Munyasya duly appointed by parties and fully authorised  by the registrar of companies hereby give notice to all shareholders to attend and vote .”
    Munyasya further stated that the AGM will be held on 29th May 2026 at Githunguri Stadium starting 10.00am outllining the agendas of the meeting.
    He stated that the first agenda will be  reading notice convening the meeting and election of directors and company secretary
    He further highlighted that admission shall only be upon proper identification by way of documents notifying members aspiring to vie for the position of director should notify the registrar of companies in writing and copy the same during working hours at least seven days before the date of the AGM.
    He ended the notice statement by saying that the AGM shall abide to enabling  laws and particularly the articles of association of the company with proxies required to abide to rules
